Exit advisory by a founder
who has done it.

01 — Perspective

An exit is not a single transaction. It is the outcome of how a business has been built.

Seoh Capital Partners advises business owners on the seller side, before and through an exit. We help founders reduce dependency, strengthen governance, prepare for due diligence and enter buyer conversations from a position of greater readiness.

Seoh Soon Heng, founder of Seoh Capital Partners

“The best advice comes from experience,
not just theory.”

02 — Founder experience

I’ve been on the
seller’s side of the table.

Built. Grown. Sold.

I founded SL Grease Control Pte. Ltd. in 2002 and spent 24 years building it into an established, market-leading business before completing its sale in 2026.

Through that journey, I personally experienced due diligence, negotiations, deal structuring and the transition to a new owner. I understand both the commercial decisions and the emotional weight behind a founder’s exit.

Today, I bring that experience to Seoh Capital Partners—helping other founders prepare their businesses and navigate one of the most important transactions of their lives.

03 — Why Seoh Capital

“Most advisors have never sold their own business. We have. That changes everything about how we work.”
01

We understand what buyers examine beyond the due-diligence checklist.

02

We recognise where transactions can quietly fail—messy structures, missing contracts, founder dependency and undisclosed liabilities.

03

We understand the pressure founders experience and help them remain focused throughout the process.

04

We remain non-executive and advise at board level. Your management team executes.

What makes us different

A founder’s perspective
at the centre of the deal.

WhoTheir traditional roleOur edge
M&A Lawyers

Legal execution is their core role; broader exit preparation may sit outside their mandate.

We help founders shape the overall strategy before and alongside the legal process.

Investment Banks

Often focused on larger transactions and structured sale processes.

We work closely with founder-owned SMEs requiring personal, practical advice.

Big 4 Advisory

Broad, multidisciplinary resources, but senior involvement may vary.

Principal-led—you work directly with the person who has personally completed an exit.

04 — Advisory

Clarity before complexity.

01

Seller Exit Strategy

Define the founder's desired outcome, timing and practical path. We help founders position the business for the right buyer, assess buyer suitability and prepare for productive buyer discussions.

02

Due Diligence Readiness

Review governance, financials, contracts, cap table, related-party matters and key-person exposure through a buyer's lens.

03

Founder Transition

Move from founder-dependent to professionally run, with clearer accountability, repeatable processes and a credible transition plan.

04

Selective Co-Investment

Where interests are fully aligned, selective co-investment may be considered separately in businesses advised by Seoh Capital Partners.

Who we work with

Built for founder-owned businesses.

We work with established SME owners preparing for succession, professionalisation or a potential sale—ideally before a transaction becomes urgent.

Our clients want to reduce founder dependency, improve due-diligence readiness, position the business for the right buyer and approach an eventual exit with greater clarity and control.

05 — How we work

Strategic counsel.
Clear accountability.

We advise you directly on the decisions that shape your exit. Your management team manages, while lawyers and accountants execute within their respective disciplines. Our role is to keep the overall strategy aligned, identify risks early and help you make better decisions throughout the journey.

  1. 01
    Principal-led

You work directly with the founder who has personally completed an exit—not through layers of junior advisors.

  2. 02
    Independent perspective

Our advice stays anchored to your objectives, with candid challenge when a decision may weaken the deal.

  3. 03
    Specialists aligned

We help keep management, lawyers and accountants working toward one coherent exit strategy.

  4. 04
    Strictly confidential

Sensitive decisions and buyer discussions are handled discreetly, with the founder firmly in control.

A private conversation

Your business deserves to exit well.
Not just to exit.

If you are a founder thinking about your next chapter, let’s have a quiet, confidential conversation. No pressure—just a frank discussion about where your business stands, what buyers may see and what it would take to become exit-ready.
